Terms of Service
The agreement between you and Couscous when you use our website and AI agents.
Effective date: May 23, 2026
1.Acceptance of Terms
These Terms of Service ("Terms") form a legally binding agreement between you ("you", "Customer", or "Operator") and CyberFruit Lab - FZCO, operating as "CousCous" ("we", "us", or "our"). By accessing or using our website, AI agents, or any other product or service we provide (collectively, the "Services"), you confirm that you have read, understood, and agree to be bound by these Terms.
2.Modifications to the Terms
We may modify these Terms from time to time. Changes are effective when posted to this page with an updated effective date. Material changes will, where practical, be communicated through the Services or by email. Your continued use of the Services after a change constitutes acceptance of the updated Terms.
3.Eligibility
The Services are intended for businesses operating in the home-services industries (HVAC, electrical, plumbing, and adjacent trades). You represent and warrant that (a) you are at least 18 years old, (b) you have the legal authority to bind the entity on whose behalf you are using the Services, and (c) your use of the Services will comply with all applicable laws and regulations.
4.The Services
CousCous provides AI agents and supporting tooling that help home-services operators capture, convert, and follow up on revenue opportunities. The current product surface includes:
- AI Call Operator — an AI agent that answers your inbound calls and books or routes the appointment.
- AI Dispatcher — an AI agent that ranks and routes incoming jobs across your queue based on margin, urgency, and capacity.
- AI Estimator — an AI agent that drafts good/better/best estimates against your pricing book.
4.1 Service availability
We do not guarantee uninterrupted operation
The AI agents depend on third-party telecom carriers, large-language-model providers, and other infrastructure. The Services may be temporarily unavailable, delayed, or degraded due to maintenance, outages, third-party failures, rate limits, or other factors outside our reasonable control. We work to minimize downtime but do not guarantee uninterrupted, real-time availability. The Disclaimers (Section 14) and Limitation of Liability (Section 13) apply.
4.2 Research and aggregated signals
We may use aggregated and de-identified signals derived from your use of the Services — for example, call-pickup rates, dispatch turnaround, or conversion benchmarks — to conduct internal analysis, improve the Services, and publish industry benchmarks. We do not publish research in a way that identifies you or your customers, and we do not include your customers' personal identifiers in any published research.
5.Accounts and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly if you suspect any unauthorized access. We may suspend or terminate access if we believe an account has been compromised, is being used in violation of these Terms, or is creating risk for other customers or the platform.
6.Customer Data, Recording, and Telecom Compliance
6.1 Your data, your customers' data
You retain ownership of the business data you provide and the data we collect on your behalf (call recordings, transcripts, dispatch history, estimates, and customer records). You grant us a worldwide, non-exclusive, royalty-free license to process this data solely to provide the Services, operate the underlying AI agents, secure the platform, and improve the Services consistent with our Privacy Policy.
6.2 Call recording and disclosure
Calls handled by the AI Call Operator are recorded and transcribed by default. You authorize us to record calls on your behalf and represent that you have a lawful basis to do so in the jurisdictions where your business operates. You are responsible for ensuring required recording disclosures are played and for honoring opt-outs.
6.3 TCPA and messaging compliance
Operator responsibility
If we send SMS or place outbound calls on your behalf, you remain responsible for ensuring you have appropriate consent and that your messaging program complies with the TCPA, A2P 10DLC registration, CAN-SPAM, and any other applicable telecom or messaging regulations.
6.4 Confidentiality
We treat your business data as confidential. We will not disclose it to third parties except (a) to our subprocessors as needed to deliver the Services, (b) where required by law, or (c) with your written consent.
7.Payments and Refunds
7.1 Payment terms
Fees for the Services are due in advance. By submitting a payment method, you authorize us (or our payment processor) to charge that method for all amounts owed in connection with your use of the Services, including any taxes and applicable surcharges.
7.2 Refund window — setup and testing phase
Refund requests are accepted only during the initial setup-and-testing phase, after we have configured the AI workflow on your account and you have had the opportunity to validate it end-to-end through the agreed test scenarios. If, after setup and testing, the AI workflow does not perform substantially as described and we cannot resolve the issue within a reasonable period, you may request a refund of the setup fee paid for that workflow.
Refund requests must be submitted in writing to hi@couscous.ai during the setup-and-testing phase. Requests sent after the workflow has been accepted into production are governed by Section 7.3.
7.3 No refunds on monthly subscription
Subscription fees are non-refundable
Once the workflow moves from the setup-and-testing phase into a recurring monthly subscription, all subscription fees become non-refundable. This includes the current billing period and any prepaid future periods. The Services consume AI processing, telephony minutes, and other resources that we incur on a continuous basis, which is why subscription fees cannot be refunded once the recurring engagement has started.
7.4 Other fees
Outside of the setup-and-testing refund window described in Section 7.2, all fees paid for the Services are non-refundable. This includes one-time integration or onboarding fees, usage-based charges, and any other amounts paid to us. Once we have provisioned access or delivered configured AI agents on your account, the work product is considered delivered and the fee is earned.
7.5 Subscription cancellation
You may cancel an active subscription at any time by contacting us at hi@couscous.ai or via the in-app chat. Cancellation takes effect at the end of your then-current billing period, and no refund is issued for the current billing period or for any prepaid future periods.
7.6 Chargebacks and disputes
If you dispute a charge, you agree to contact us at hi@couscous.ai and give us a reasonable opportunity (no less than 30 days) to resolve the issue before initiating a chargeback with your payment provider. Chargebacks initiated in bad faith may result in immediate suspension of the Services, forfeiture of any prepaid balances, and recovery of chargeback fees and legal costs.
8.Non-Transferability
The Services are personal to your business and are non-transferable. You may not assign or transfer your account, subscription, or any rights or obligations under these Terms without our prior written consent. Any attempt to do so is void.
9.AI Output and Service Accuracy
Our AI agents generate outputs — answers, scripts, dispatch decisions, estimates, summaries — based on the data they receive and the models we operate. While we work continuously to improve accuracy, AI outputs may be incomplete, inaccurate, or otherwise unfit for a particular decision. You are responsible for reviewing AI outputs before you rely on them for material business decisions, customer communications, or commitments to your customers.
If you notice errors, hallucinations, missed calls, incorrect dispatch decisions, broken estimates, or any other issue with how the agents are performing on your account, please contact us at hi@couscous.ai or via the in-app chat. Reporting issues helps us investigate and roll out fixes quickly, both for your account and for other operators on the platform.
10.No Guarantee of Results
What we can and can't promise
We work hard to deliver revenue impact, but we do not guarantee a specific number of booked appointments, conversion rate, ticket size, gross margin, or any other business outcome. Results depend on your team, market, pricing, capacity, lead mix, and many other factors outside our control.
11.Acceptable Use
You agree not to use the Services to:
- Send unsolicited communications in violation of the TCPA, CAN-SPAM, or any other anti-spam or telecom rules.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Submit, store, or transmit content that is unlawful, fraudulent, deceptive, or harmful.
- Attempt to gain unauthorized access to the Services, related systems, or other customers' data.
- Use any automated means to scrape, reverse-engineer, or interfere with the Services.
- Violate any applicable law, regulation, or third-party right in your use of the Services.
Violations may result in suspension or termination of your access, forfeiture of prepaid fees, and recovery of any damages we incur.
12.Intellectual Property
The Services, including the underlying software, model weights, training pipelines, prompts, prompt templates, agent configurations, evaluation suites, dashboards, documentation, and the CousCous name and marks, are owned by CyberFruit Lab - FZCO and our licensors and are protected by intellectual-property laws. No license is granted to you except the limited right to use the Services as described in these Terms.
13.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COUSCOUS, ITS AFFILIATES, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFIT, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.
IN NO EVENT WILL OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO COUSCOUS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE THOUSAND U.S. DOLLARS (US$1,000).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so portions of the above limitations may not apply to you.
14.Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECT WILL BE CORRECTED.
We are not responsible for the acts or omissions of third parties, including telecom carriers, hosting providers, model providers, and any third-party tools you integrate with the Services.
15.Indemnification
You will defend, indemnify, and hold harmless CyberFruit Lab - FZCO, its affiliates, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any law or third-party right (including any telecom, consumer-protection, or data-protection law), or (d) any data, content, or instructions you provide that cause harm to a third party.
16.Termination and Suspension
We may suspend or terminate your access to the Services at any time, with or without notice, if (a) you breach these Terms, (b) you fail to pay amounts owed, (c) your use creates a security, telecom, or legal risk for us or for other customers, or (d) we are required to do so by law. On termination, your right to use the Services ends; sections that by their nature should survive termination (including ownership, disclaimers, indemnification, and limitation of liability) will survive.
17.Third-Party Services
The Services rely on third-party providers (including telephony, cloud hosting, and large-language-model providers). Your use of those providers' functionality through the Services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or content of any third-party service.
18.Governing Law and Jurisdiction
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates.
19.Severability and Entire Agreement
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms (together with any order form or written agreement we sign with you, and our Privacy Policy) constitute the entire agreement between you and us regarding the Services and supersede any prior or contemporaneous discussions or agreements.
20.Force Majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control — including acts of God, natural disasters, war, terrorism, civil disturbance, government action, labor disruption, telecommunications or internet failures, third-party provider outages, fire, flood, and pandemic.
